These Terms constitute a legally binding agreement between you and TekNSpek LLC, a Virginia Limited Liability Company ("TekNSpek," "we," "us," or "our"). These Terms apply equally to: - Customers: any person who books, attempts to book, or uses the results of a vehicle inspection arranged through the Platform - Technicians: any independent contractor who applies for, is approved for, or performs inspections through the Platform - Visitors: any person who accesses or browses the Platform in any capacity By checking the agreement checkbox at checkout or by submitting a technician application, you confirm that you have read, understood, and agree to every section of these Terms without exception. SECTION 02 - NATURE OF THE PLATFORM: MARKETPLACE ONLY TekNSpek is strictly a technology marketplace and scheduling platform. Its sole function is to connect customers who seek pre-purchase vehicle inspections with independent, self-employed automotive technicians who offer such services. TekNSpek does not and has never: - Performed, conducted, or participated in any vehicle inspection - Employed, hired, directed, supervised, or controlled any technician in any way - Certified, endorsed, or warranted the qualifications, skills, or conduct of any technician - Made any representation about the accuracy, completeness, or reliability of any inspection report - Acted as an automotive repair shop, dealership, licensed inspection facility, or engineering service - Guaranteed any outcome, finding, or result of any inspection TekNSpek's role begins and ends with facilitating the connection between customer and technician and processing payment. Everything that occurs during or after an inspection is entirely the responsibility of the parties involved (the customer and the technician), not TekNSpek. SECTION 03 - INDEPENDENT CONTRACTOR STATUS: TECHNICIANS ARE NOT EMPLOYEES ALL TECHNICIANS WHO PERFORM INSPECTIONS THROUGH TEKNSPEK ARE INDEPENDENT CONTRACTORS OPERATING THEIR OWN INDEPENDENT BUSINESSES. THEY ARE NOT EMPLOYEES, AGENTS, PARTNERS, JOINT VENTURERS, OR REPRESENTATIVES OF TEKNSPEK IN ANY CAPACITY WHATSOEVER. TekNSpek exercises no control over how, when, where, or in what manner any technician performs an inspection. Specifically: - TekNSpek does not set, dictate, or supervise the inspection methods used by any technician - TekNSpek does not control the tools, equipment, or materials used by any technician - TekNSpek does not direct the schedule, route, or working hours of any technician - TekNSpek does not guarantee the availability, punctuality, or professionalism of any technician - TekNSpek does not withhold taxes, provide benefits, or assume any employer obligations for any technician - Each technician is free to accept or decline any inspection job offered through the Platform - Each technician is solely responsible for their own professional conduct, quality of work, and legal compliance Any action, error, omission, negligence, misconduct, or failure on the part of a technician is solely attributable to that individual technician and their independent business, not to TekNSpek. TekNSpek shall bear no legal, financial, or professional liability for the acts or omissions of any technician under any circumstances. This independent contractor relationship is acknowledged and agreed to by both customers and technicians as a fundamental condition of using the Platform. SECTION 04 - TECHNICIAN INSURANCE: SOLE RESPONSIBILITY OF THE TECHNICIAN Each technician who performs inspections through TekNSpek is solely and exclusively responsible for determining whether they need professional liability insurance, general liability insurance, vehicle damage insurance, or any other form of insurance coverage relevant to their work as an independent automotive inspector. TEKNSPEK DOES NOT PROVIDE, ARRANGE, REQUIRE, OR GUARANTEE ANY FORM OF INSURANCE COVERAGE FOR ANY TECHNICIAN. TEKNSPEK IS NOT RESPONSIBLE FOR ANY UNINSURED LOSSES, CLAIMS, OR DAMAGES SUFFERED BY OR CAUSED BY ANY TECHNICIAN. Specifically: - TekNSpek does not carry professional liability (E&O) insurance on behalf of any technician - TekNSpek does not carry general liability insurance that covers a technician's actions during an inspection - TekNSpek does not provide workers' compensation coverage for any technician - If a technician causes damage to a vehicle, property, or person during an inspection, that technician bears full personal and financial responsibility - If a technician is injured during an inspection, TekNSpek bears no responsibility for medical costs, lost income, or any other losses - Technicians are encouraged to carry their own professional liability and general liability insurance, but it is not required by TekNSpek as a condition of using the Platform By applying to and using the TekNSpek Platform as a technician, you acknowledge that you have independently evaluated your insurance needs and that TekNSpek bears no responsibility whatsoever for any uninsured risk you choose to assume. SECTION 05 - INSPECTION DISCLAIMER: NO GUARANTEE OF FINDINGS ALL INSPECTION REPORTS DELIVERED THROUGH THE TEKNSPEK PLATFORM REPRESENT THE INDIVIDUAL PROFESSIONAL OPINION OF THE PERFORMING TECHNICIAN AT THE TIME AND PLACE OF INSPECTION ONLY. THEY ARE NOT GUARANTEES, WARRANTIES, CERTIFICATIONS, OR ENGINEERING ASSESSMENTS OF ANY KIND. Every vehicle inspection conducted through TekNSpek is subject to the following inherent limitations, which every customer expressly acknowledges and accepts: - Inspections are visual and mechanical assessments only; they do not include disassembly of any vehicle component - Certain defects, conditions, or failures may be hidden, intermittent, latent, or otherwise undetectable through a standard inspection - Inspection findings reflect the condition of the vehicle at the specific moment in time the inspection was conducted; conditions may change immediately thereafter - Inspections cannot predict future mechanical failures, reliability issues, or safety concerns that do not manifest at the time of inspection - A favorable inspection result does not mean the vehicle is free of defects; it means no defects were identified under the conditions present at the time of inspection - Electronic, software, and computer system diagnostics are limited to OBD2 scan results and do not represent a comprehensive computer system audit - Frame, structural, and undercarriage assessments are visual only and cannot replace professional frame measurement equipment TekNSpek, its owners, officers, and agents expressly disclaim all liability for any finding, missed finding, inaccuracy, or omission in any inspection report, regardless of the reason for such error or omission. SECTION 06 - VEHICLE DAMAGE: TEKNSPEK NOT LIABLE TEKNSPEK IS NOT LIABLE FOR ANY DAMAGE, SCRATCHES, DENTS, MECHANICAL FAILURES, ACCIDENTS, OR ANY OTHER HARM THAT OCCURS TO A VEHICLE DURING, BEFORE, OR AFTER AN INSPECTION ARRANGED THROUGH THE PLATFORM, REGARDLESS OF CAUSE OR CIRCUMSTANCE. In the event that a vehicle sustains any damage in connection with an inspection arranged through TekNSpek: - Any claim for vehicle damage must be made directly against the individual technician who performed the inspection, not against TekNSpek - TekNSpek will not mediate, adjudicate, or assume financial responsibility for any vehicle damage claim - TekNSpek does not carry vehicle damage insurance or property damage insurance that covers vehicles inspected through the Platform - If a technician causes damage during a test drive, inspection, or any related activity, that technician is solely responsible - The vehicle owner assumes all risk of allowing a technician to inspect, start, drive, or otherwise interact with the vehicle Customers are strongly advised to verify that the vehicle they are having inspected is covered under the seller's insurance or their own insurance policy during the inspection period. TekNSpek bears no responsibility for any gap in insurance coverage. SECTION 07 - MISSED OR INCOMPLETE FINDINGS: LIMITATION OF SCOPE No vehicle inspection, regardless of the thoroughness of the technician, can identify every existing or potential defect in a vehicle.
